MAIN RESPONSIBILITIES

  1. Legal Strategy and Advisory:
    • Develop and implement legal strategies that align with the company’s business goals.
    • Provide expert legal advice to the executive team on a wide range of matters including corporate governance, commercial contracts, intellectual property, labor law, and litigation.
    • Ensure the organization’s legal interests are protected in all transactions and contractual arrangements.
  2. Regulatory and Compliance:
    • Oversee the company’s compliance with all applicable laws and regulations.
    • Develop and maintain policies and procedures to ensure compliance with regulatory requirements.
    • Monitor changes in legislation and regulatory environments, assess their impact on the organization, and adjust compliance strategies accordingly.
    • Prepares, in conjunction with the Company departments involved, work relating to tariff negotiations and revision of interconnection agreements
    • Participates in the drafting, analysis and approval of all contracts and services, related to interconnection with other operators in the sector.
    • Monitors disputes with other MNOs in conjunction with OMEA and Orange Group legal and regulatory departments.
    • Coordinates all the actions of the relevant departments of the Group's companies in the preparation of the information required by the Regulatory Authority (BOCRA), in accordance with the respective specifications of the entities.
    • Prepares, in conjunction with the Company departments involved, work relating to tariff negotiations and revision of interconnection agreements
    • Manage relationships with regulatory authorities and government agencies.
    • Advocate for the organization’s interests in regulatory matters and participate in industry regulatory forums and discussions.
  3. Risk Management:
    • Identify potential legal and regulatory risks and develop strategies to mitigate them.
    • Oversee the management of litigation, disputes, and investigations, ensuring the company’s interests are safeguarded.
    • Provide guidance on risk management practices across the organization.
  4. Contract Management:
    • Oversee the drafting, negotiation, and review of contracts and agreements.
    • Ensure that all contracts comply with legal and regulatory requirements and adequately protect the organization’s interests.
    • Manage disputes arising from contractual arrangements.
  5. Leadership and Team Management:
    • Lead, mentor, and develop the legal and regulatory affairs team, fostering a culture of high performance and continuous improvement.
    • Allocate resources effectively to meet departmental and organizational goals.
    • Ensure ongoing professional development and training for the legal and regulatory team.
  6. Corporate Governance:
    • Ensure excellent governance of the company
    • Takes charge of formalizing all decisions by way of legal documents (letters, contracts, and any other legal support) and is responsible for their approval by the Board of Directors if needed,
    • Defines the Board agenda in consultation with the CEO
    • Acts as secretary to the Board and draft the minutes of Board meetings
    •  In charge of the validation process by Delegation of Authority (proxy) / Signature for all Directors and ensures, through appropriate processes, that they are controlled and up to date by the Legal Department.
    • Manage the organization’s legal aspects of corporate transactions, including mergers, acquisitions, and joint ventures.
  7. Stakeholder Engagement:
    • Liaise with internal and external stakeholders to ensure alignment of legal and regulatory strategies with business objectives.
    • Represent the company in legal proceedings, negotiations, and regulatory discussions.
    • Provide legal support in corporate communications and public relations efforts.
  8. Reporting and Documentation:
    • Prepare and present reports on legal and regulatory matters to the executive team and Board of Directors.
    • Maintain accurate records of legal and regulatory activities, ensuring proper documentation and archiving.

 

QUALIFICATIONS, SKILL & EXPERIENCE

  • Education:
    • Masters in Law or equivalent law degree from an accredited institution.
    • Attorney admitted to the bar and practicing in the courts of the Republic of Botswana, holding a valid practicing certificate and in good standing with the Law society of Botswana.
    • Additional qualifications in business administration or regulatory affairs are a plus.
  • Experience:
    • Minimum of 10 years of experience in legal practice, with significant experience in regulatory affairs.
    • Proven track record in a leadership role, preferably within a corporate environment.
    • Experience working with regulatory bodies and managing compliance programs.
  • Skills and Competencies
    • Strong knowledge of corporate law, regulatory compliance, and risk management.
    • Excellent leadership, negotiation, and communication skills.
    • Ability to manage complex legal matters and provide clear, actionable advice.
    • Strong analytical and problem-solving abilities.
    • Strategic thinking with the ability to align legal and regulatory strategies with business goals.
    • High ethical standards and integrity in both personal and professional dealings.
    • Ability to work effectively under pressure and manage multiple priorities.
    • Strong interpersonal skills and the ability to build relationships with stakeholders at all levels.
